Effective Date: July 1, 2026

These Terms of Use ("Agreement") govern your access to and use of ArterSpace, a web-based nail design application owned and operated exclusively by Orlando Nail Tech LLC ("Company," "we," "our," or "us").

By purchasing, accessing, registering for, or using ArterSpace, and by checking the acceptance box where one is presented, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, do not access or use ArterSpace.

1. Ownership

ArterSpace, including but not limited to its software, source code, algorithms, artwork, graphics, interface, workflows, features, databases, educational materials, branding, trademarks, logos, text, downloadable content, and all intellectual property associated with the platform, is the exclusive property of Orlando Nail Tech LLC.

No ownership rights are transferred to users. Purchasing access grants only a limited, revocable, non-transferable license to use the software under these Terms.

2. License Grant

Subject to your compliance with these Terms, Orlando Nail Tech LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use ArterSpace solely for your own personal or business use.

This license does not transfer ownership of the software.

3. Individual License Only

Each ArterSpace license is issued to one individual.

Unless expressly authorized in writing by Orlando Nail Tech LLC, you may NOT:

• share your login credentials
• allow another person to access your account
• permit another individual to use your subscription
• sell access
• rent access
• sublicense access
• transfer your account
• gift your account
• permit multiple users to use a single account

Sharing login credentials for any reason, including with family members, coworkers, students, friends, employees, or business partners, is strictly prohibited.

4. Account Security

You are solely responsible for:

• maintaining the confidentiality of your login credentials
• all activity occurring under your account
• ensuring that no unauthorized individual accesses your account

You agree to notify Orlando Nail Tech LLC promptly if you believe your account has been compromised.

Failure to safeguard your account may result in suspension or termination.

5. Prohibited Conduct

You agree that you will not:

• share your login credentials
• bypass or attempt to bypass security measures
• attempt to circumvent authentication systems
• use another person's account
• impersonate another user
• distribute access to the software
• reverse engineer the application
• decompile the software
• inspect, extract, copy, or reproduce source code
• scrape data
• use bots or automated software
• interfere with the platform or its servers
• attempt to discover hidden or undocumented interfaces
• exploit bugs or vulnerabilities
• remove, disable, or obscure security mechanisms
• remove, alter, or obscure watermarks
• copy proprietary workflows
• reproduce the interface
• create derivative software based on ArterSpace
• copy the functionality of ArterSpace for commercial purposes

Any attempt to circumvent security features constitutes a material breach of this Agreement.

6. Account Identification and Integrity

To protect our intellectual property and enforce these Terms, Orlando Nail Tech LLC uses reasonable measures to identify accounts and confirm that access is limited to the licensed individual. These measures currently include:

• per-customer access tied to your own verified account login
• a visible watermark that identifies the licensed account within the application
• review of reports and evidence submitted by third parties
• internal review of account activity for signs of sharing or unauthorized use

We may, in the future, enable additional security features that record limited technical information (for example, information needed to enforce a limit of one active session per account). If and when we enable any feature that collects personal information, that collection will be described in and governed by a posted Privacy Policy. We do not represent that we currently collect or monitor IP addresses, device identifiers, browser details, or geographic location.

7. Detection of Unauthorized Access

If Orlando Nail Tech LLC reasonably believes, in good faith, that an account has been shared, transferred, or otherwise used in violation of these Terms, we reserve the right to:

• require additional identity verification
• end active sessions
• require a password or login reset
• require additional authentication
• temporarily suspend access
• permanently terminate the account
• refuse future service

Our determination may be based on evidence that includes, but is not limited to:

• a watermarked screenshot, recording, or other material indicating that an account is being used by someone other than the licensed individual
• indications that a single account is being used by more than one person, including simultaneous or conflicting sign-ins where session limits are in effect
• reports or evidence provided by third parties
• internal review and investigation

Our determination will be made in good faith and is final.

8. Suspension and Termination

Violation of these Terms may result in immediate suspension or permanent termination without prior notice.

This includes, but is not limited to:

• account sharing
• credential sharing
• unauthorized access
• software piracy
• intellectual property infringement
• reverse engineering
• fraud
• abuse of the platform

No refunds will be issued following termination resulting from a violation of these Terms.

9. Intellectual Property

All content within ArterSpace is protected by United States copyright laws, trademark laws, trade secret laws, and other applicable intellectual property laws.

Nothing contained in ArterSpace grants any ownership interest. Unauthorized copying or distribution constitutes copyright infringement.

10. Copyright and Trade Secret Protection

The design, structure, workflow, features, functionality, organization, and implementation of ArterSpace constitute valuable proprietary information and trade secrets belonging to Orlando Nail Tech LLC.

Any unauthorized copying or use is prohibited.

11. Injunctive Relief

You acknowledge that unauthorized use of ArterSpace may cause irreparable harm that cannot be adequately compensated by monetary damages alone.

Accordingly, Orlando Nail Tech LLC shall be entitled to seek temporary restraining orders, preliminary injunctions, permanent injunctions, specific performance, and other equitable relief, in addition to any other remedies available under law.

12. Damages

You agree that Orlando Nail Tech LLC may pursue recovery of:

• actual damages
• statutory damages where applicable
• lost profits
• investigation costs
• attorney's fees where permitted by law
• court costs
• expert witness fees where recoverable
• equitable relief

Nothing in this Agreement limits any remedies available under federal or state law.

13. Reporting Unauthorized Use

Users may report suspected unauthorized use or account sharing.

Orlando Nail Tech LLC reserves the right to investigate any report. False reports made maliciously may themselves constitute a violation of these Terms.

14. No Refunds Following Abuse

Accounts terminated due to fraud, credential sharing, software piracy, intellectual property theft, or violations of these Terms are not eligible for refunds.

15. Disclaimer of Warranties

ArterSpace is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability, except where such disclaimers are prohibited by applicable law.

16. Limitation of Liability

To the fullest extent permitted by law, Orlando Nail Tech LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business interruption arising from or related to the use of ArterSpace.

Our total liability for any claim shall not exceed the amount you paid for access to ArterSpace during the twelve (12) months preceding the event giving rise to the claim, unless a greater limitation is prohibited by applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Orlando Nail Tech LLC, its owners, officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of ArterSpace.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.

Subject to any mandatory consumer protection laws, any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction and venue of those courts.

19. Changes to These Terms

Orlando Nail Tech LLC may update these Terms at any time.

Continued use of ArterSpace following any modification constitutes acceptance of the revised Terms.
